Terms of Service

Acceptance of Terms
By completing the registration process as a Claywings Creator, you indicate your acceptance of these terms. If any part of the terms is unacceptable to you, you should refrain from registering or participating in projects.

1. Creator Registration and Account Management
1.1 Account Setup
It is essential to adhere to the requirements outlined for setting up and maintaining your creator account. Ensure that all information provided is accurate and kept up to date.

1.2 Account Security
You are responsible for maintaining the security of your account and ensuring the confidentiality of your password.

2. Scope of Work
2.1 Services Provided
A comprehensive description of the services you may be tasked with, including videography, editing, and other related tasks will be provided to you when you are booked.
2.2 Project Assignments
Projects are allocated based on several factors including but not limited to the location of client, requirement of client, previous ratings, and type of request. Creators can accept or reject bookings up to 48 hours before the booking time.

3. Compensation and Payment Terms
3.1 Fee Structure
Creators earn 80% of the total financial value of each project and Claywings reserve 20% for running services.
3.2 Payment Schedule
Payments are disbursed within 24 hours following the completion of services and confirmation of satisfaction from the client.
3.3 Taxes and Deductions
It is your obligation to report and remit applicable taxes on compensation received.
3.4 Timely Submission Requirement:
Creators are required to submit the edited video within 48 hours of video creation. Failure to meet this deadline will result in a penalty fee of ₦10,000 for every additional 24 hours that the submission is delayed. This ensures timely delivery to our clients and upholds the quality and professionalism expected from Claywings creators.

4. Intellectual Property Rights
4.1 Ownership of Work
The ownership of intellectual property rights for work created by creators are reserved and held by Claywings Media and the client.
4.2 License to Use
Claywings Media reserves the right for the use of work produced by Creators.

5. Standards of Conduct and Performance
5.1 Professional Standards
Creators are expected to adhere professional conduct and work quality, including adherence to project briefs and meeting deadlines.
5.2 Confidentiality
Creators are to maintain the confidentiality of client and project-related information.
5.3 Punctuality Requirement: Creators are expected to arrive at the event location at least 15 minutes before the client’s booked time to ensure adequate preparation and seamless video creation. Timeliness is crucial in delivering high-quality service and maintaining professionalism with our clients.
In the event of a delay, for every 30 minutes of lateness, a fee of ₦10,000 will be charged. This fee will be deducted from the creator’s payment to cover the impact of the delay on the overall project.

6. Termination and Suspension of Account
6.1 Grounds for Termination
Your Claywings Creator License  may be terminated if the creator solicits the client outside the platform, if unprofessional conduct is determined, and if there is any risk to the client posed by the creator.

6.2 Suspension of Account
Creator account may be suspended if booked appointments are not executed within the 48-hour time frame..

7. Dispute Resolution
7.1 Internal Review
Initial steps for addressing disputes related to project assignments, payments, or breaches of the Terms of Service are available as stated on the website.
7.2 Mediation and Arbitration
Procedures for resolving disputes that cannot be resolved internally, including options for mediation and binding arbitration are available on the website.

8. Liability and Indemnification
8.1 Limitations on Liability
Claywings Media’s remains indemnified for actions taken under the Terms of Service.
8.2 Indemnification
You agree to indemnify Claywings Media against claims arising from your actions.

9. Amendments to the Terms
9.1 Modifications
These terms may be amended within short notice with new amendments communicated to the Creator through the registered email.

10. Miscellaneous
10.1 Governing Law
The governing law is applicable to the Terms of Service and the mechanisms for resolving disputes.
10.2 Severability
If any part of the Terms is deemed unenforceable, the remainder shall remain in effect.

10.3 Entire Agreement
The creator acknowledges that these terms constitute the entire agreement between you and Claywings Media.

Step 1: Initial Complaint
Filing a Complaint
Clients are required to submit a written complaint via the designated platform or email. The complaint should clearly outline the nature of the dispute, the parties involved, and provide any evidence supporting their claim.

Acknowledgment
Claywings Media will acknowledge receipt of the complaint within 48 hours and provide the complainant with a reference number.

Step 2: Review and Response
Internal Review
Claywings Media will conduct an internal review of the complaint, which may involve gathering additional information from the involved parties and reviewing service agreements and communications.

Initial Response
Within 7 business days of receiving the complaint, Claywings Media will provide an initial response, which might include proposed solutions or a request for further information.

Step 3: Mediation
Mediation Session
If the initial response does not resolve the dispute, either party may request a mediation session. This session will be conducted by a neutral third party selected by Claywings Media.

Scheduling
The mediation session should be scheduled within 14 days of the request, at a time agreeable to both parties.
Outcome
The mediator will attempt to help the parties reach a mutually satisfactory agreement. If an agreement is reached, it will be put in writing and signed by both parties, becoming binding.

Step 4: Arbitration (if necessary)
Initiating Arbitration
If mediation fails to resolve the dispute, the next step is arbitration. This process must be agreed upon by both parties and will be conducted according to the rules set by a local arbitration association.

Arbitrator Selection
An arbitrator will be selected from a pre-approved list maintained by Claywings Media. Both parties will have the opportunity to provide input on the selection.

Hearing
A formal hearing will be conducted where both parties can present their case. The arbitrator will make a decision based on the presented evidence and applicable law.

Decision
The arbitrator’s decision will be final and binding, with no right to appeal within Claywings Media’s process. Both parties must comply with the arbitrator’s ruling.

Step 5: Legal Action
Court Proceedings
If arbitration is not stipulated in the service agreement or if the arbitration outcome is legally challengeable, parties may pursue their dispute in court. The jurisdiction and venue for such actions will be clearly defined in the service contract.

General Provisions
Confidentiality
All discussions during mediation and arbitration are confidential and should not be used as evidence in subsequent legal proceedings should they occur.

Costs
Each party will bear their own costs related to mediation and arbitration, unless decided otherwise by the arbitrator or mediator.

Record Keeping
Claywings Media will keep detailed records of all disputes and resolutions for legal and internal review purposes.
